Recently, I was approached by a client who was interested in starting a business, however he was curious to learn about the different business structures available, and which would be most suitable for him. Considering this was not the first time I have addressed such an inquiry, I felt it prudent to elaborate on the various structures and explain the differences between each.

Please be aware that this is not a comprehensive description of the structures and it is always advised to speak to an attorney who would better be able to provide sound advice on which structure is most suitable for your particular needs, expectations and business.

One of the most common misconceptions when it comes to creating a business is that many feel that an incorporation is automatically the best structure to use; however, that is not always true. In order to fully understand why, or why not, an incorporation is most applicable, it is important to get a basic understanding of the other available business entities.??

In Michigan, there are three common business structures that owners can typically choose from: Partnership/Sole Proprietorship, Corporation, and Limited Liability Company.

1. Partnership/Sole Proprietorship: The major difference between a partnership and a sole proprietorship is in the number of owners. In a sole proprietorship, there is essentially only one owner; hence the word ?sole.? On the other hand, in a partnership, it is comprised of two or more owners who come together with the intent of advancing their mutual interest.

Depending on the specific type of business you are operating, creating a sole proprietorship or a partnership is not always recommended. Under either of these structures, you, the business owner, are responsible for all taxes. However, the method in how you file your taxes does not differ from your current procedure, as the income received by your company would simply be inputted in your personal tax returns.

However, probably the biggest drawback with a sole proprietorship and partnership is that in the event your company is involved in any legal action, you are ultimately responsible for any and all judgments, whereby your business assets and your personal assets can be seized to satisfy any judgment.?

2. Corporation/Limited Liability Company (LLC): One of the biggest benefits of setting up a corporation or an LLC is that it reduces the exposure of the owners and their assets in the event of a legal action. Because corporations and LLC?s are considered separate entities, requiring a separate tax ID number, a separate tax return, the only assets that can be seized for judgment are the assets owned by the corporation/LLC; therefore, the owners are not held personally liable, and thus have their assets safeguarded from potential liability.

With respect to the taxes, the profit obtained by a corporation/LLC is taxed to the company when earned, and if the shareholder (under a corporation) decides to distribute dividends, the shareholder would also be taxed individually. Thus, this creates a double tax, which is not always appealing. This double taxation can be avoided through the use of an LLC, where there are no shareholders, but rather members to the company. Please speak to an expert for further information in how to reduce your taxes through the set-up on an LLC.

As indicated above, it is always best to rely on the expert opinion of an experienced attorney who would be able to discuss in more depth the differences between each respective structure and determine, based on your specific needs, which structure is most efficient for you. Although starting a partnership/sole proprietorship is the easier and cheaper selection, it may not always be the most optimum, as you could be opening yourself up to unnecessary liability.

Feds: Mass. man planned to blow up Pentagon (AP)

BOSTON ? A Massachusetts man was arrested Wednesday and accused of plotting an assault on the Pentagon and U.S. Capitol using remote-controlled aircraft armed with explosives ? the latest of several terrorism cases to spring from federal sting operations.

Rezwan Ferdaus was arrested in Framingham after undercover federal agents delivered materials he had allegedly requested, including grenades, six machine guns and what he believed was 24 pounds of C-4 explosive. Federal officials said the public was never in danger from the explosives, which it said were always under control and closely monitored.

Wednesday's arrest was similar to other cases in which reputed would-be terrorists were caught in sting operations that revolved around fictional plots against various targets, such as Dallas skyscapers or a Chicago nightclub. In this case, though, authorities say Ferdaus planned the scheme.

According to a federal affidavit, Ferdaus, 26, of Ashland, became convinced America was evil through jihadi websites and videos, and began planning "jihad" against the U.S. in early 2010. He contacted a federal informant that December and months later, allegedly began meeting to discuss the plot with undercover federal agents he believed were members of al-Qaida.

Ferdaus said he wanted to deal a psychological blow to the "enemies of Allah" by hitting the Pentagon, which he called "head and heart of the snake," according to the affidavit.

"Allah has given us the privilege," he allegedly told the informant. "... He punishes them by our hand. We're the ones."

Ferdaus, a U.S. citizen who graduated from Northeastern University with a bachelor's degree in physics, made a brief initial appearance Wednesday in federal court on charges of attempting to destroy federal buildings and providing support to a foreign terrorist organization, in this case al-Qaida. A detention hearing was scheduled for Monday.

Telephone messages were left at the office of his attorney, Catherine Byrne, and at the address listed for Ferdaus in the affidavit.

Several alleged domestic plots have been thwarted since the Sept. 11, 2001, terrorist attacks, including in Lackawanna, N.Y.; Portland, Ore.; and Virginia.

Terrorism arrests involving federal stings have often been followed by claims of entrapment, but none of the cases brought since Sept. 11 has been thrown out by a court on such grounds.

U.S. Rep. William Keating of Massachusetts, a member of the Homeland Security Committee, said lawmakers have been warned for months of an emerging threat from homegrown extremists. He said al- Qaida is casting a wide net to radicalize individuals or small groups already in the country because of the significant advantages.

"They're already here, so they don't have the hurdles of getting into the country, they know the country better. ... They know how to move around," Keating said. "The testimony we heard, things like this (the Ferdaus arrest) were inevitable."

Ferdaus is accused of planning to use three remote control airplanes measuring about from 60 to 80 inches in length. Ferdaus allegedly planned to pack five pounds of explosives in each plane, while saving some of it to blow up bridges near the Pentagon.

The planes, guided by GPS and capable of speeds greater than 100 mph, would hit the Pentagon and blow the Capitol dome to "smithereens," according to Ferdaus' plan, detailed in the affidavit. Ferdaus then planned a follow-up automatic weapons attack with six people divided into two teams, according to the affidavit.

At one point, according to recorded conversation detailed in the affidavit, Ferdaus told undercover agents that his desire to attack the United States was so strong, "I just can't stop. There is no other choice for me."

According to the affidavit, Ferdaus traveled to Washington in June to do surveillance, and drew up a 15-phase attack plan. He also allegedly rented storage space to work on the planes in Framingham, telling the manager he planned to use the space for music.

Asked at one point about possibly killing women and children, Ferdaus allegedly said all unbelievers of Islam were his enemies.

Prosecutors also accuse Ferdaus of supplying the undercover agents with cellphone devices he said could be used to remotely detonate explosives. When the undercover agents falsely told him the devices had been used to kill three U.S. soldiers in Iraq, he allegedly became visibly excited and said he felt "incredible. ... We're changing the world."

Rezwan is unmarried and has no children, the affidavit said.

He had at least one previous brush with the law. In 2003, The Boston Globe reported that he and two other Ashland High School seniors were accused in a vandalism spree at the school.

Documentary Makers Mistake Video Game Footage for Real-Life Terrorism

A UK documentary examining possible connections between Muammar Gaddafi and the IRA apparently confused video game play for actual IRA footage of a helicopter being shot down.

In the documentary Exposure - Gaddafi and the IRA, aired Monday night in the U.K., a voice can be heard saying, "With Gaddafi's heavy machine guns it was possible to shoot down a helicopter as the terrorists own footage of 1988 shows."

On the screen viewers witness shaky footage of what appears to be a heavy machine gun mounted into the bed of a camouflage-painted pick-up truck. The words IRA film 1988 are displayed over the video. In the footage, viewers see a group of men in balaclavas standing around the vehicles as it fires at a distant helicopter.

"This was what the security forces feared most," the voice continues. "It may have been a lucky hit, but for the Army and crew once was enough. No one died in this attack..."

That's probably because the footage actually came from ARMA 2, a tactical shooter released for the computer by developers Bohemia Interactive Studios in 2009.

Reached for comment this afternoon, an ITV spokesman had this to say:

"The events featured in Exposure: Gaddafi and the IRA were genuine but it would appear that during the editing process the correct clip of the 1988 incident was not selected and other footage was mistakenly included in the film by producers. This was an unfortunate case of human error for which we apologise."

The spokesman added that ITV does hold the real footage and plans to replace it in the documentary.

This morning, Marek Spanel, CEO of Bohemia Interactive, said he wasn't aware of the game's use in the documentary until Kotaku contacted him.

"We were not aware of this at all," he wrote. "It is very weird to see our game used this way especially considering the journalists were simply unable to tell difference between reality and game footage and described a short film clearly made using our game Arma II with what they call real IRA footage from 1988. Our games offer a great level of freedom to our users to create all kind of things but in this particular case, it is very misleading. Plus it is surprising ITV did not seek for permission to use our game in this way."

Spanel said the publisher is in the process of gathering more information about the use of their game in the television program, but that after viewing the show he's baffled how the documentary makers could "make such obvious mistake."

"On somewhat of a more positive note," he added, "we consider this a bizarre appreciation of the level of realism incorporated into our games."

The mix up was first caught by a number of viewers, and ARMA 2 gameplayers, who pointed out the issue on the developer's website this morning. While the page for the player that lets you watch the Monday night show is still active, the video won't play for people outside of the U.K.

>> well, i think it's different for each person who goes through prison, but what i've seen in some others and what i saw in me is that it takes time. at first you just want to spend time with your family and your loved ones because i think you have the renewed or a new gratitude for your family and friends when you go through the experience. then you also want to enjoy freedoms that you didn't have when you were in prison. and for these two men, they were in prison for such a long time. these are just simple freedoms like walking down the street without a blindfold on or being able to shut off a light at night. i don't know if they were handcuffed but i was so going in a car without being handcuffed. these freedoms are very valuable and i think we realize how much we take them for granted when we're deprived of them.

>> were there lingering nightmares, fears for you that you might be expected for these young men?

>> i have had nightmares in the past and i've heard from other prisoners that sometimes they do as well. they come and go. sometimes in the past i've looked over my shoulder to see if somebody is following me. i don't know if these men will go through the same thing but i can say that for many people who go through an ordeal like this i hear that some of them find meaning from this difficult experience and i saw that in some of my cell mates as well who were suffering for standing up for basic human rights but some of them just realized that you can't control your physical atmosphere so you can at least try to control your own attitude and maybe that can help the hikers as they go on to their next stage in life.

NORMAN, Okla. (AP) ? Landry Jones threw for 448 yards and three touchdowns to Ryan Broyles, leading top-ranked Oklahoma back from a rare home deficit to beat Missouri 38-28 on Saturday night.

With two starting receivers out of the lineup, Broyles had to play up to his usual All-American standard without proven sidekicks. Kenny Stills, who caught the go-ahead touchdown in a win at then-No. 5 Florida State last week, was out with a head injury and Trey Franks is suspended indefinitely.

The Tigers (2-2, 0-1 Big 12) pounced early to take a 14-3 first-quarter lead, breaking a streak of 20 straight home games in which Oklahoma (3-0, 1-0) never trailed. It didn't last long, though.

The Sooners roared back with 28 straight points to avenge a loss in Columbia last year when they were first in the BCS standings and move their home winning streak to 38 straight games.

Missouri also had a hot start in last season's upset, returning the opening kickoff for a touchdown, but then was able to close strong with 16 straight fourth-quarter points for a 36-27 victory.

This time, the Sooners were able to prevent any late heroics by the Tigers.

Henry Josey took an option pitch and raced 47 yards down the left sideline for a score to make it 31-21 with 6:44 left in the game, and it could have been even closer if not for a pair of missed 46-yard field goals by Grant Ressel ? who also missed a potential game-winner in the Tigers' overtime loss at Arizona State two weeks ago.

The Sooners eliminated any drama by answering immediately with a 62-yard scoring drive, capped by Broyles' twisting 4-yard grab in the back of the end zone. Broyles finished with 13 receptions for 154 yards, helping Jones to his fifth career 400-yard passing game.

Oklahoma coach Bob Stoops had proclaimed during the week that "revenge doesn't win" and encouraged his team to focus on correcting mistakes from last year's disappointing loss instead.

Broyles, who had 110 yards receiving despite playing with two injured ankles in last year's game, did much of the damage.

Southern China villagers riot over land dispute (AP)

BEIJING ? Protests by hundreds of villagers over a land dispute in southern China have turned violent, with residents smashing buildings, overturning vehicles and clashing with police.

A woman surnamed Chen from Wukan village in Guangdong province says some villagers were beaten and injured Thursday after they surrounded a police station.

Chen said Friday that it was the second day the villagers had gathered to protest a rumor that their farmland was going to be sold without their consent.

A local government statement says about 200 villagers gathered Wednesday at an industrial park and smashed buildings and equipment and blocked roads. It says more than 10 police officers were injured and six police vehicles were damaged in Thursday's violence.

To ditch dessert, feed the brain

ScienceDaily (Sep. 19, 2011) ? If the brain goes hungry, Twinkies look a lot better, a study led by researchers at Yale University and the University of Southern California has found.

Brain imaging scans show that when glucose levels drop, an area of the brain known to regulate emotions and impulses loses the ability to dampen desire for high-calorie food, according to the study published online September 19 in The Journal of Clinical Investigation.

"Our prefrontal cortex is a sucker for glucose," said Rajita Sinha, the Foundations Fund Professor of Psychiatry, and professor in the Department of Neurobiology and the Yale Child Study Center, one of the senior authors of the research.

The Yale team manipulated glucose levels intravenously and monitored changes in blood sugar levels while subjects were shown pictures of high-calorie food, low-calorie food and non-food as they underwent fMRI scans.

When glucose levels drop, an area of the brain called the hypothalamus senses the change. Other regions called the insula and striatum associated with reward are activated, inducing a desire to eat, the study found. The most pronounced reaction to reduced glucose levels was seen in the prefrontal cortex. When glucose is lowered, the prefrontal cortex seemed to lose its ability to put the brakes upon increasingly urgent signals to eat generated in the striatum. This weakened response was particularly striking in the obese when shown high-calorie foods.

"This response was quite specific and more dramatic in the presence of high-calorie foods," Sinha said.

"Our results suggest that obese individuals may have a limited ability to inhibit the impulsive drive to eat, especially when glucose levels drop below normal," commented Kathleen Page, assistant professor of medicine at the University of Southern California and one of the lead authors of the paper.

A similarly robust response to high-calorie food was also seen in the striatum, which became hyperactive when glucose was reduced. However, the levels of the stress hormone cortisol seemed to play a more significant role than glucose in activating the brain's reward centers, note the researchers. Sinha suggests that the stress associated with glucose drops may play a key role in activating the striatum.

"The key seems to be eating healthy foods that maintain glucose levels," Sinha said. "The brain needs its food."
